SAP to acquire TechWolf

TechWolf gives enterprises a continuously updated view of the work their people do and the skills they have, using its proprietary data model called context graph for work.
The acquisition will bring this context graph, along with TechWolf’s AI models and applied AI research team, into SAP, establishing work intelligence as a strategic SAP asset. The deal is expected to close in Q4 2026, subject to usual closing conditions, including regulatory approval. Terms of the deal were not disclosed.
TechWolf works from existing HR and business systems that customers connect. It builds its model of the organisation at three levels: the work itself, down to the tasks inside a job; the skills people have and apply; and the external labour market. It maps that against the customer’s business strategy, so the leaders responsible for hiring, reskilling and redeployment are working from better information.
TechWolf is expected to become an intelligent core of the SAP SuccessFactors portfolio, supporting the company’s talent and work intelligence strategy. TechWolf will power workforce and talent strategies across SAP SuccessFactors, bringing skills mapping, workforce planning and organisational redesign informed by context from across the Autonomous Enterprise. Joint SAP and TechWolf customers using the technology are seeing measurable results from the partnership the two companies have had. Building on that foundation, SAP and TechWolf will jointly co-innovate a concrete set of new AI-powered workforce and skills optimisation products to be designed and developed post-close. SAP plans to integrate TechWolf’s solutions to a greater degree, offering customers even better insights and work intelligence to help organisations plan reskilling, internal mobility and hiring.
SAP’s current plans are for TechWolf to remain as an independent entity under CEO Andreas De Neve in its Ghent headquarters, with offices in London, New York and San Francisco, and for its platform to remain available to both SAP and non-SAP customers.

Austco Healthcare to acquire RTM Solutions
Austco Healthcare has entered into a binding share purchase agreement to acquire 100% of the shares in RTM Hold Co Pty Ltd, the holding company of Real Time Monitoring Solutions Pty Ltd and Real Time Monitoring Cloud Pty Ltd (together, “RTM”), a Brisbane-based provider of real-time monitoring, reporting and systems-integration software for healthcare and aged care facilities.
The acquisition, its first of a software technology company, is expected to grow Austco’s software and recurring service revenue, strengthen its proactive monitoring and maintenance capabilities, and broaden the integration functionality available across Austco’s global customer and installed base.
The acquisition is inter-conditional with Austco’s acquisition of CareTech Systems Pty Ltd.
RTM’s vendor-agnostic platform has a library of more than 300 system interfaces, including an interface with Austco’s Tacera platform, and is deployed at more than 600 sites across Australia.
The deal includes upfront cash consideration of approximately A$9.44 million, subject to customary completion adjustments, of which A$3.0 million is expected to be held in escrow pending renewal of a key customer contract, plus a performance-based cash earnout calculated by reference to RTM’s FY27 and FY28 EBITDA.
Based on current forecasts, the earnout is estimated at approximately A$5.82 million, implying estimated total consideration of approximately A$15.26 million. The earnout is uncapped, and the actual earnout consideration may be higher or lower depending on RTM’s performance.
RTM was established in 2012, is headquartered in Brisbane and has 27 staff.
The company's cloud-based platform covers nurse call, duress, access control, CCTV, building management and other systems.
Austco intends to offer RTM Cloud through its operations in North America, the United Kingdom, New Zealand and Asia, and through its global reseller network. Because the platform is vendor-agnostic, it can be sold into existing Austco sites and into facilities that use other vendors’ systems, widening Austco’s addressable market.
Each RTM installation creates ongoing software licence, maintenance and support revenue, which complements Austco’s existing hardware, software, service and maintenance offering.
RTM’s platform sits above individual systems, including Austco’s own, and monitors the health of the whole site. It positions Austco as a technology platform across the care environment, not only a provider of individual communication systems.
RTM will operate as a standalone business within Austco’s Australian operations during the earnout period to 30 June 2028, with key management and technical personnel remaining with the business under executive services agreements.
Completion is expected on or around 1 December 2026 and is subject to conditions precedent customary for a transaction of this nature.
