Data centre operator NEXTDC has disclosed that a vehicle jointly owned by Goodman Group and Digital Realty Trust conducted an aftermarket share raid on the company on 4 November 2026, seeking to acquire up to 9.9% of NEXTDC's ordinary shares at A$9.50 per share.
The vehicle, Ackland Investments No.1 Pty Limited as trustee for the Ackland Investments No.1 Trust, ran an aftermarket book build open only to institutional investors.
NEXTDC said it does not yet know the outcome of the raid.
During the book build, Goodman and Digital Realty told investors through their broker that they have "no intention of submitting a control proposal or making a takeover bid for the Company at this time, but reserve their right to do so".
NEXTDC's board described the move as "opportunistic", noting it came two weeks after the company's 21 October 2026 announcement of a power delay at its M3 Melbourne data centre and a revision to its FY27 guidance.
The board said it is not in possession of any takeover proposal and that any genuine approaches would be assessed on their merits and in the best interests of all shareholders.
The company advised shareholders they do not need to take any action at this time.
NEXTDC has appointed Barrenjoey Advisory and UBS Securities Australia as joint lead financial advisers and Cadence Advisory as independent financial adviser. Mallesons is acting as legal adviser.
