Cognizant has entered into a definitive agreement to acquire DyFlex Solutions, an Australian SAP consulting and managed services firm, in a move the company said would strengthen its enterprise AI and SAP capabilities across Australia and New Zealand.

Founded in 2011 and headquartered in Australia, DyFlex has grown to more than 300 staff.. The firm holds SAP Platinum Partner status and operates across multiple ANZ office locations, with a delivery presence in the Philippines.

DyFlex specialises in SAP transformation - including AI-led process advisory - across finance, digital supply chain, asset maintenance, human capital management, and data and analytics. Its client base spans mining and resources, energy and utilities, manufacturing, logistics, the public sector and the mid-market.

Cognizant said it intends to combine DyFlex's regional SAP expertise and proprietary delivery accelerators with its own AI platforms, including Neuro AI Enterprise Core, the Cognizant SAP Agentic AI Platform and its Frontier offerings.

The companies said the combined capability would be aimed at helping ANZ clients move from isolated AI pilots to production-ready AI and agentic systems across their SAP environments.

“This proposed acquisition would bring DyFlex’s deep local SAP talent and strong understanding of Australia’s major industries together with Cognizant’s AI capabilities and global scale," said Carla Ramchand, managing director ANZ at Cognizant.

"For DyFlex’s clients and the organisations we look forward to working with, it would mean the trusted people they know today, with even more ways to accelerate their transformation ambitions.”

"DyFlex has grown by building enduring relationships with our clients, investing in our great people and developing deep expertise across our core industries and the SAP ecosystem," said Evan Mantis, chief executive of DyFlex.

“Joining Cognizant would be an exciting next chapter for our clients and colleagues. Our clients would continue to work with the people and expertise they trust, backed by Cognizant’s global reach, industry experience and AI capabilities to help them go further, faster."

The transaction is expected to close in the first quarter of 2027, subject to regulatory approvals and customary closing conditions. Financial terms were not disclosed.

Until closing, Cognizant and DyFlex will continue to operate as separate businesses.

DyFlex Solutions acquired Bluetree, an Australian consulting company and service provider specialising in planning and analytics solutions, in August of last year.
