Adactin acquires Focus Dynamics Group

Adactin has acquired Melbourne-headquartered IT services company Focus Dynamics Group (FDG).

The acquisition will enable Adactin to expand its footprint in Victoria and South Australia, as well as enhance its core technology pillar service offerings across AWS, Microsoft, digital transformation and software testing.

FDG specialises in providing advanced Dynamics 365 and Azure solutions and has built a presence among the manufacturing, distribution and food and beverage sectors. Adactin now plans to further expand deployment of these Microsoft technologies beyond its traditional strength in public sector and further expand its geographic footprint across Australia.

While Adactin will now be able to provide its existing customer base with expanded Dynamics 365 skills, FDG customers can access Adactin's expertise in digital transformation and software testing services, providing opportunities for the two organisations to cross-sell each other's expertise.

ETLA Advisory, a boutique business strategy and M&A advisory firm focused on technology, IT services and software, cyber security services, management consulting and communications, worked with Adactin on the deal.

Navneesh Garg, CEO of Adactin, said while his company is “very strong” in the areas of Microsoft, data, AI and engineering, it was seeking partners who are equally as strong in the Dynamics capability.

“When we found FDG, they ticked all the boxes in terms of their strongest pillar being in Victoria, their capabilities and the customer base that they have across that region in the manufacturing sector and the food and beverage sector,” he explained.

“It all happened in probably three months' time – we had six weeks of initial discussions and engagement, and then we closed off the transaction in two months.”

Michael Zarb, founder and CEO of Focus Dynamics Group, said that when he received a call from ETLA to say that they had a company that was looking to purchase a Microsoft Dynamics provider, it was a conversation that FDG “potentially wasn’t ready for”.

“As we had conversations, the level of comfort we got with Nav and his team - just in terms of being a privately owned organisation, built from nothing, [now with a] massive footprint in Australia over the last 15 years - it became really compelling for us to really think about what the strategy and alignment was and what they could offer our team moving forward,” he told techpartner.news.

“It wasn't something we were contemplating at this point in time, but when it feels right, we couldn't let this opportunity pass.”

All 82 of Focus Dynamics Group's employees – spread across VIC, NSW, QLD and SA, as well as offshore capability in the Philippines and India - and partners will be retained with the company, which will operate as an independent subsidiary of Adactin.

“FDG has been a specialised brand name in the Dynamics space for the last five and a half years. There is a lot of goodwill behind the brand and the customer trust that they built over the years with them,” Garg stated on the reason for running the company as a subsidiary instead of integrating it into the wider Adactin brand.

“Adactin’s known in the engineering space, and I think it just complements each other. The intent here is to keep growing FDG as a brand in the Dynamic space.”

Adactin currently has approximately 400 employees, the majority of whom are in Australia, and the combined teams will ensure customer relationship continuity for both Adactin and FDG clients alike.

Looking at the broader Dynamics market currently, Zarb said that the Microsoft brand, reputation and alignment to back office capabilities is drawing customers to think about unified solutions.

“Microsoft's investment in AI and MCP capabilities are just helping us extend that conversation, not only with new customers but also existing customers that want to continue to optimise,” he said.

“That continuous optimisation is a massive part of our business, not just day-to-day support or break fix - it's all about optimisation and extending the value for our customers. We're having conversations every day from new and existing customers around this [Microsoft] stack.”

As well as manufacturing distribution capability, Zarb said that FDG has recently built “quite a big practice” in the agricultural space as well, with agricultural customers that are using Dynamics across Australia, New Zealand and the US.

“Although we do work in some of the sectors Adactin have built a great reputation in, we're much stronger in other ones, so I think this is where our synergies will now come together and we can expand our knowledge across all these sectors,” he said.

Garg said that while no other M&A deals are on the table currently, the company is always keeping an eye out for “the right company where [it] can synergise and build.

“We are looking at businesses in the data, AI and AWS capability space, which complements to the path that we are already on,” he told techpartner.news.

“Do we have anything in hand [now]? Probably not, [but] we will be looking out for targets in this space.”
