Atturra, through its subsidiary Atturra PHC, is set to acquire DalRae Solutions.
Brisbane-based DalRae was founded in 2015 and provides a full suite of SAP Cloud, Business Technology Platform and Case Management solutions across government, utilities and complex mid-market clients.
Atturra has a significant SAP client base along with a range of complementary capabilities that include Infrastructure Managed Services, OpenText ECM services, Data and Integration services and Change and Adoption services specific to SAP.
The upfront consideration is $4.8m in cash, with earn-out/post-completion consideration of up to $15.2m in cash subject to DalRae achieving performance hurdles based on audited EBITDA targets and key employee retention targets for CY25, CY26 and CY27.
Integration costs have been budgeted at $400,000.
The acquisition is expected to be completed on or around 30 June 2025 and to be earnings per share (EPS) accretive in FY26.
Atturra CEO Stephen Kowal said Atturra has consistently signaled its intention to establish a meaningful footprint in the SAP consulting and implementation space by being a trusted partner.

Earlier this year, Atturra North America, a subsidiary of the Australian-based technology consultancy, acquired US-based cloud integration, customisation and services firm Kitepipe.
