Atturra subsidiary Galaxy42 Group has exchanged a share sale agreement to acquire Sydney-based manufacturing ERP specialist ComActivity.
The deal, expected to be completed on or around 31 December 2024, will see Atturra spend $9 million in cash with an earn-out/post-completion consideration of up to $5.5 million in cash subject to ComActivity performance targets.
The purchase price, including upfront and deferred consideration, is based on a multiple of 6.95x forecast EBITDA.
ComActivity is a provider of Infor CloudSuite solutions in Australia and New Zealand, offering manufacturing solutions and consulting services based on Infor's M3 product suite.
It has clients in manufacturing, food and beverage, distribution, equipment and “asset intensive” industries.
ComActivity has more than 40 consultants in Australia and New Zealand.
The acquisition will bring 61 new clients in the manufacturing sector to Atturra, and provides cross-sell opportunities for other Atturra services and products.

The ComActivity acquisition “completes the three identified advanced acquisition opportunities identified in Atturra’s Capital Raising presentation released to market on 13 November 2024”, the company stated.
Those acquisitions include Atturra’s acquisition of New Zealand cloud, network connectivity, data centre and managed services provider Plan B, and Atturra's acquisition of Melbourne-based Chrome Consulting, which specialises in deployment of OpenText in an SAP context.
